Food Service Agreement

This Agreement is made and entered into by and between [Food Provider Name], a corporation with its principal place of business at [Address], hereinafter referred to as the “Provider,” and you, referred to as the “Buyer.”

1. Order and Payment:
1.1. Order Placement: The Buyer agrees to order specific food items through the online platform.
1.2. Payment: The Buyer agrees to pay the full amount of the order as specified on the platform. Proof of payment must be uploaded to the platform.

2. Provider’s Obligations:
2.1. Order Fulfillment: The Provider agrees to prepare and provide the ordered food items as specified by the Buyer.
2.2. Order Accuracy: The Provider agrees to ensure that the food items provided match the Buyer’s order.
2.3. Order Readiness: The Provider agrees to have the order ready for pickup on the specified date and time.
2.4. Force Majeure: The Provider shall not be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, labor strikes, or government regulations.  

3. Buyer’s Obligations:
3.1. Order Pickup: The Buyer agrees to pick up the order from the Provider’s designated pickup location on the specified date and time.
3.2. Order Forfeiture: Failure to pick up the order on the specified date and time may result in the order being forfeited.
3.3. Rescheduling: The Buyer may request a reschedule by contacting the Provider directly. A rescheduled pickup will be considered a separate transaction.

4. Intellectual Property: The Provider retains all intellectual property rights, including trademarks, copyrights, and trade secrets, related to its food items, recipes, and branding.

5. Indemnification: The Buyer agrees to indemnify and hold harmless the Provider, its officers, directors, and employees from any claims, damages, or liabilities arising from the Buyer’s use of the food items or breach of this Agreement.

6. Dispute Resolution: Any disputes arising from this Agreement shall be resolved through mediation following the applicable laws of the Philippines.

7. Governing Law: This Agreement shall be governed by and construed following the applicable laws of the Philippines.

8. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

By placing an order and accepting these terms, the Buyer and the Provider agree to be bound by the terms of this Agreement.
